Choosing the structure

Most trading businesses choose a private limited company: liability is contained, ownership can change without disturbing the business, and investors and banks understand it. An LLP suits professional partnerships that want partnership tax treatment with limited liability. Sole proprietorships are cheap to start but leave the owner personally exposed, which is why we rarely recommend them beyond genuine one-person side ventures. Foreigners can own a Singapore company outright but need at least one Singapore-resident director; we advise on how that is typically solved before any paperwork starts.
